Company - Directors - Informal Appointment.Acquiescence by Shareholders.

Case summary

When an original board of directors had not been appointed in writing by the signatories to the memorandum of association as required by the articles but had acted with the full knowledge and consent of all the shareholders :-Held, that the board had acted as a de facto board and its resolutions could not be impugned on the ground of the informality of its appointment by shareholders who had acquiesced in its appointment and thereafter dealt with it as a de facto board.
