Company-Meeting-Notice-Foreign Shareholder.- Act 31 of 1909, sec. 65.

Case summary

The two months' notice of meeting to be given to shareholders outside of South Africa, as provided in sec. 65 (2) of Act 31 of 1909, applies only to cases where the company has shareholders with registered addresses outside South Africa. Where articles of association of a company provided that every shareholder must furnish an address within the Transvaal, to which notices might be sent him: -Held, that this precluded the giving of any foreign address as a registered address within the meaning of sec. 65 (4). -Held further, that foreign shareholders in such a company are not entitled to receive two months notice of meeting.
